1. Acceptance of Terms

By accessing shopscale.co.za or engaging ShopScale for e-commerce growth services, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.

2. Scope of Services

ShopScale provides technical Shopify architecture, performance marketing, and e-commerce consulting. The specific scope of work, timelines, and deliverables for each project will be defined in a separate written proposal or Service Level Agreement (SLA).

3. Client Obligations

You agree to provide ShopScale with the necessary access to your Shopify store, advertising accounts, and third-party tools required to perform our services. You are responsible for ensuring all product content, images, and brand assets provided to us comply with applicable laws.

4. Payments and Invoicing

All service fees are payable in ZAR. Invoices are issued per the agreed-upon payment schedule in your SLA. Late payments may result in a temporary suspension of services or additional interest charges at the discretion of ShopScale.

5. Intellectual Property

All proprietary code, bespoke design elements, and strategies developed by ShopScale remain our intellectual property. Upon full payment of all fees, you are granted a non-exclusive, perpetual license to use these deliverables for your business.

6. Confidentiality

Both parties agree to treat all business information shared during the engagement as strictly confidential and will not disclose it to third parties without prior written consent.

7. Limitation of Liability

ShopScale provides services on an "as-is" basis. We do not guarantee specific revenue figures or ad campaign results, as these are dependent on market variables beyond our control. To the maximum extent permitted by law, ShopScale’s liability shall be limited to the fees paid by the client for the specific service in the preceding 3 months.

8. Governing Law

These terms shall be governed by the laws of the Republic of South Africa, and any disputes shall be settled in the courts of Gauteng.
